1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Invoice Pro ("we," "us," or "our") regarding your use of the Invoice Pro mobile application (the "App").

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Invoice Pro is an offline-first invoice maker mobile application that allows users to:

• Create professional invoices using customizable templates
• Manage business profiles and client information
• Generate PDF invoices
• Track invoice status (draft, sent, paid, overdue)
• Export and import data
• Access premium templates through in-app purchase

The App is available for iOS and Android platforms and operates primarily offline, storing all data locally on your device.

3. Free and Premium Features

3.1 Free Features

The following features are available at no cost:

• Unlimited invoice creation and management
• Unlimited client management
• 3 free invoice templates
• PDF generation and sharing
• Data export and import
• Multi-language support (7 languages)
• Full offline functionality

3.2 Premium Features

Premium features are available through a one-time in-app purchase:

• Access to all 17 premium invoice templates
• Lifetime access (no subscription required)
• Future template updates at no additional cost

3.3 Pricing and Purchase

• Premium is a one-time purchase with lifetime access
• Pricing is determined by Apple App Store or Google Play Store and may vary by region
• Payment is processed through your Apple ID or Google Play account
• Purchase can be restored on other devices using the same Apple ID or Google account

4. User Eligibility

You must be at least 13 years old (or the applicable age of digital consent in your jurisdiction) to use Invoice Pro. By using the App, you represent and warrant that you meet this age requirement.

If you are using the App on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

5. User Responsibilities and Acceptable Use

5.1 Permitted Use

You agree to use Invoice Pro only for lawful purposes and in accordance with these Terms. You may:

• Create invoices for legitimate business purposes
• Store business and client information
• Share generated invoices with clients
• Export your data for backup purposes

5.2 Prohibited Use

You agree NOT to:

• Create fraudulent or misleading invoices
• Use the App for illegal activities or fraud
• Reverse engineer, decompile, or disassemble the App
• Remove or modify any copyright, trademark, or proprietary notices
• Attempt to gain unauthorized access to any part of the App
• Use the App to harass, abuse, or harm others
• Violate any applicable laws or regulations
• Distribute malware or harmful code
• Resell, sublicense, or redistribute the App

6. Intellectual Property Rights

6.1 Our Intellectual Property

Invoice Pro and all its contents, features, and functionality (including but not limited to design, templates, text, graphics, logos, and software) are owned by us and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on your personal devices
• Use the App for your personal or business invoice creation needs
• Generate and share invoices created using the App

6.3 Your Content

You retain all rights to the content you create, upload, or store in the App (such as business information, client data, invoice details, and logos). Since all data is stored locally, we do not claim any ownership or rights to your content.

7. In-App Purchases and Refunds

7.1 Payment Processing

All purchases are processed by Apple App Store or Google Play Store. Payment terms, billing, and refund policies are governed by their respective terms and conditions.

7.2 Refunds

Refund requests must be submitted directly to:

• iOS: Apple App Store (per Apple's refund policy)
• Android: Google Play Store (per Google's refund policy)

We do not process refunds directly. Please refer to Apple's or Google's refund policies for eligibility and procedures.

7.3 Restore Purchases

Premium purchases can be restored on other devices using the same Apple ID or Google account at no additional cost. Use the "Restore Purchases" option in the app settings.

8. Data and Privacy

Your use of Invoice Pro is also governed by our Privacy Policy, which explains how we handle your information.

Key Privacy Points:

• All data is stored locally on your device
• We do not access, collect, or store your business or invoice data
• You are responsible for backing up your data
• Uninstalling the app will permanently delete all local data

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the App will be uninterrupted, error-free, or secure
• That defects will be corrected
• That the App is free from viruses or harmful components

We do not warrant that:

• The App will meet your specific requirements
• Invoices generated will comply with all tax or legal requirements in your jurisdiction
• Data stored locally will be preserved indefinitely

Legal Compliance: You are responsible for ensuring that invoices you create comply with applicable laws, tax regulations, and business requirements in your jurisdiction.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INVOICE PRO BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damage to business reputation or goodwill
• Data loss or corruption
• Errors or inaccuracies in invoices generated

Our total liability to you for any claims arising from or related to the App shall not exceed the amount you paid for premium features (if any) in the 12 months preceding the claim, or $50 USD, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Invoice Pro and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or share using the App
• Any fraudulent or illegal activities

12. Updates and Modifications

12.1 App Updates

We may release updates, upgrades, or new versions of the App from time to time. These updates may:

• Add new features or templates
• Fix bugs or improve performance
• Change or remove existing features

You may need to update the App to continue using it. Some updates may be automatic, depending on your device settings.

12.2 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date
• We may notify you through the App
• Continued use of the App after changes constitutes acceptance

13. Termination

13.1 Termination by You

You may stop using the App at any time by uninstalling it from your device. Premium purchases are non-refundable upon termination.

13.2 Termination by Us

We reserve the right to terminate or suspend your access to the App if:

• You violate these Terms
• We are required to do so by law
• We discontinue the App

Since the App operates offline and does not use accounts, termination typically means preventing future updates or access to premium features.

14. Third-Party Services

The App may contain links to or integrate with third-party services, including:

• RevenueCat: In-app purchase processing
• Apple App Store / Google Play Store: App distribution and payments

These third-party services have their own terms and privacy policies. We are not responsible for their practices or content.

15. Export and Compliance

The App may be subject to export control laws and regulations. You agree to comply with all applicable laws regarding the download, use, and export of the App and any data created using it.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Invoice Pro is registered, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Informal Resolution: Contact us first at support@vishwenlabs.com to attempt good-faith resolution
2. Arbitration: If informal resolution fails, disputes may be subject to binding arbitration

16.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Invoice Pro regarding the App and supersede all prior agreements and understandings.

19. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by us.

20. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING INVOICE PRO, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
